Introduction1. The store serves as an electronic buyer for the acquisition of products and services by Israel’s Internet surfing public by means of – inter alia – participation in regular sales, auctions and/or group sales.2. Persons of 18 years and over with an e-mail address, residential address and valid credit card in Israel are entitled to take part in the bid.3. A prerequisite for the validity of a participant’s entitlement to the bid is the credit card company’s authorization of the transaction and the collection.4. The instructions of this statute shall apply to any use of, or purchase you make in, this store.  The statue constitutes a binding contract between you and the store, with all its implications.5. You are requested to read this statue carefully and in full as a perquisite to an agreement between the parties.6. Surfing the store and/or purchasing a product and/or service being sold there constitutes your consent to accept and adhere to the instructions of the statute.  Accordingly, if you do not agree to all the terms of this statute, you are requested to refrain from making any use of the store.7. It is strictly forbidden for any person connected with the store and/or anybody on its behalf – including company employees and suppliers – to take part in bids either directly or indirectly.

Sales – General Section1. The store shall enable you to make quick, easy and convenient purchases of various products and/or services at attractive prices and from among the top manufacturers, importers and retailers marketing in Israel.  2. The storeowners, businesses and operators (hereinafter: “the suppliers”) offer a vast array of products and services for sale.

The products offered in the bid 1. Each product or service being sold features a “sales sheet” specifying the name of the store or supplier, the name of the product or service offered for sale, the list price of the product or service offered for sale as conveyed to the store by the supplier, and the selling price (hereinafter “the sales sheet”).2. Full specifications of each product can be viewed by selecting the item row on the sales sheet as it appears in the store.

In-store sales methoda) Auctions 1. The auction method involves selling a maximum quantity of products as specified by the supplier, to the highest bidder.   In an auction, the sales sheet shall indicate the lowest price that can be offered (hereinafter: “the minimum price”) and/or the allowable price increment above the minimum price (hereinafter: “allowable price increment”) as well as the number of units for sale for each and every product.2. The allowable price increment can vary during the sale, at the storeowner’s sole discretion.3. Should a single unit of a product or service be offered for sale, each participant is entitled to offer a price quote, providing it is higher than the minimum sum indicated on the sales sheet.4. In the auction arena, the participant shall have the option to view the offers of the other participants in real time and top the highest bid.5. The sum shall be added in multiples of the allowable price increment, as specified on the sales sheet.6. It shall be emphasized that it is forbidden to offer price quotes that are lower than the minimum sum or do not conform to the specified allowable price increment.7. In the event of several identical offers, the offer that was submitted earliest shall be selected.8. For a sale involving several units of the same product or service, every bidder is entitled to offer a price identical to the highest offer according to the number of units offered for sale, or a higher price - depending on the allowable price increment.

b) Group sales For selected wholesale products, the group sale price is fixed and final.  The number of items shall be determined according to the number of bidders and in any case, shall not exceed the proposed quantity.  Each and every bid wins and is handled immediately.  The price includes VAT when applicable by law, unless expressly indicated otherwise.

c) Regular salesA regular sale involves a limited quantity of fixed price products for sale.The sales process shall adhere to the following terms:1. The store shall display a list of products, including all the specifications pertaining to the product or service being sold as well as the fixed price.  The sale shall remain in effect until the stock runs out.2. Any regular sale participant is entitled to make his selection and submit his credit card details either in person in the store or by recording the details on the store’s telephone answering service, as the information is made available.3. Completion of the sales process is conditional upon the authorization and verification of the transaction by phone and/or through the participant’s e-mail within 24 hours after the order was placed, and provided that the requested product is in stock when the sales process is being completed.

Sales participation procedure1. Once the registration process has been completed, each participant shall select a user name and password, after which he shall enter basic information as indicated on the registration form such as: name, address, e-mail address, telephone number, credit card number, etc.2. Entering all of the information is a prerequisite to completing the sale, after which the participant is cleared to conduct transactions.  In order to ensure that the order is processed quickly, efficiently and faultlessly, make sure to convey the information accurately.3. Immediately after the order is placed, the store shall check the credit card details and once the order has been authorized by the credit card company, the customer shall be notified of the transaction’s approval accordingly.4. Once the transaction has been authorized, the sale shall be recorded in the store’s computers and the transaction details shall be available at the store’s “customer card” link within 24 hours.5. The customer’s credit card shall be debited for the cost of the product or service he ordered after the transaction has been authorized by the credit card company.6. The details entered on the registration form as well as the record of the transaction on the store’s computers shall constitute conclusive evidence of the transactions’ validity.7. Submitting false information is a criminal offense and perpetrators shall face criminal and civil legal proceedings.8. In the event that the transaction was not approved by the credit card company, the customer in question shall be notified accordingly and requested to call the store’s customer service center in order to arrange credit card company approval of the transaction.In this case, the delivery schedule shall be determined based on the date on which the transaction was approved by the credit card company.If the customer fails to arrange credit approval of the transaction within 7 days of the day he was notified that the transaction was not authorized by the credit card company, the store and/or suppliers shall deem the transaction null and void.9. The storeowners, businesses and operators (hereinafter: “the suppliers”) shall display details regarding the product and/or service, its price, warranty, delivery timetable, etc. in the store.10. For further details and clarifications, the suppliers can be contacted directly by telephone and/or e-mail, as specified in the store.

Bid cancellations 1. Because of the store’s customary sales method, it is not possible to cancel or modify the bid during the sale and before it is finalized.2. As a rule, the customer is entitled to cancel the transaction subject to and in accordance with the instructions of the Consumer Protection Law, 5741-1981 (hereinafter: “the law”).3. The purchase of a product can be annulled 14 days after the product is received, and only by sending written and/or faxed notification to and/or e-mailing the store directly. 4. Should a transaction be cancelled, the customer shall be charged a rate of 5% - but no more than 100 NIS – in accordance with the provisions of the law. 5. If the product was supplied to the winning participant, the customer is obligated to return the product to the suppliers’ warehouses.  It is agreed that the customer shall return the article in its original packaging while it is intact and free of any damage and/or flaw of any kind.6. The parties agree that the customer shall be charged in full for shipping fees even if he has not received the merchandise yet, providing that the article pertaining to the transaction was sent some time ago.7. It is forbidden to return products that were disassembled and assembled, unless the supplier agreed to such in advance.8. The store shall be entitled to annul a transaction or a sale – in full or in part – in the following cases:8.1 There was a lapsus calami pertaining to the price or the description of the product.8.2 If it turns out that there was a communication failure and/or a technical problem that prevented surfers from properly using the site.8.3 In the event of force majeure, an act of war, hostility, terror and/or any other impediment to concluding a proper sales transaction.8.4 In the event that no bids were received for the products offered on the site.9. The buyers shall be notified of the sale’s cancellation by telephone and/or via the e-mail address indicated on the registration form. 10. If the product has run out of stock following the sales transaction, the store and/or supplier are entitled to annul the sale and/or offer an equivalent substitute.Any such notice of cancellation shall be conveyed in writing or by telephone.Neither the store nor the supplier shall be liable for any direct, indirect, consequential or special damages incurred by the customer and/or a third party, including financial damage resulting from the acquisition of the product at a higher price from a third party.

Product delivery1. The store and/or suppliers – as the case may be – shall make sure to supply the product or service acquired on the website to the address entered on the registration form by the date specified on the product’s sales sheet, unless expressly indicated otherwise.2. The store and/or suppliers shall strive to supply the product and/or service in accordance with the supply terms specified on the sales sheet, subject to payment in full via credit card.Neither the store nor the suppliers shall be liable for any delay in the product’s delivery in the following cases:1.1 Force majeure and without detracting from the generality of the aforementioned, war, acts of hostility, state of emergency and natural disasters.2.2 A strike among the suppliers of services or goods required for the production and/or delivery of the products.3.3 Any factors not under the company’s control.3. For areas with limited access from a security standpoint, the store and/or the supplier shall be entitled to supply the products to the customers in a nearby and customary location by scheduling the delivery in advance with the customer.4. The delivery timetable for the products and/or services specified on the sales sheet only includes business days, namely from Sunday to Thursday, not including Fridays, Saturdays, holiday eves and holidays.

Shipping fees1. The customer shall pay the shipping fees separately on the day of the delivery or as part of the payment for the product.2. For an installment sale, the store and/or supplier is entitled to collect the shipping fees in the first installment.3. The customer shall be entitled to collect the product directly from the supplier by scheduling the location and date of said collection in advance with the supplier.4. It is agreed that should the customer collect the product, no shipping fees shall be charged.

Customer service1. Any question or clarification regarding the products displayed on the website, including the product’s technical specifications, information on how to operate the product, warranty and so forth can be directed to the various supplier representatives.2. For details and clarifications regarding the website and how to use it, please contact:

Data security and customer privacy1. The store takes the customary precautionary measures required to protect – as much as possible – confidential information.  Data on the site is transferred using SSL encryption technology.2. Any transfer of credit card numbers from the site is done in an encrypted, industry-standard format.   In instances beyond its control and/or stemming from force majeure, the store shall not be liable for any damage of any kind – be it direct or indirect – incurred by the customer or anybody on his behalf, if this information gets lost or reaches a hostile party and/or unauthorized use is made of it.3. The store undertakes to refrain from making use of the customer’s data on the website other than for the purpose of operating the site and enabling the purchase transaction.

General1. The store’s management reserves the right to periodically modify the terms of participation in the bid as well as the statute, at its sole discretion.It is hereby clarified that no changes shall be made to the procedures during the sales transaction process.2. The pictures displayed on the site are for illustrative purposes only and are not binding where the store is concerned.3. The stores appearing on the website are not owned by the store or operated by the website.  The stores displayed on the site are the sole responsibility of the suppliers and storeowners, unless otherwise specified.  Any information or display on the site pertaining to the stores and the products – be it for direct sales, auctions or group sales - their nature or quality, were relayed by the suppliers and are under their sole and full responsibility. 4. The store is responsible for the contents advertised on the site’s links leading to other sites that can be reached through the same link.Nevertheless, the store cannot guarantee that the link in each link will lead the surfer to an active website.5. Neither the store nor anybody on its behalf shall be liable for any direct, indirect, consequential or special damages incurred by the user or a third party as a result of using, or making a purchase through the website, including an auction purchase, which does not conform to the terms of this statute, whatever the cause of action may be, including loss of revenue and/or loss of anticipated profits for any reason, whereby the company reserves the right to annul the specific purchase by sending a written notification of such to the buyer. 6. The store shall not be responsible for assembling and/or installing products purchased on the website and said responsibility shall be borne by the customer and at his expense.7. The customer shall be solely responsible for the maintenance and service required for the product purchased on the site, unless otherwise specified.8. The store and/or anybody on its behalf exclusively own the icons, any information and/or displays appearing on the website including graphics, design, text display, trademarks and logos – including their design and display on the website.9. It is forbidden to copy, duplicate, distribute, advertise or use in any other way the contents appearing on the website without the store’s prior written consent.10. The store’s computer records of the website transactions shall constitute prima facie evidence of the transactions’ validity.11. Neither the store nor the suppliers shall be bound by any errors in the products’ description.

Reliability1. The store is aware of the sensitivity involved in operating an auction website and accordingly, the store strives to run the site with caution, skill and circumspection. 2. It is strictly forbidden for any person on behalf of or connected with the store to take part in the bids.  Accordingly, the company’s employees and suppliers were made to sign a document expressly forbidding them to make purchases on the website.3. Every sale made on the website, including all the accepted and winning bids, are fully documented.
